Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Proofel (ABN 41 243 417 418) (“Proofel”, “we”, “us”, or “our”) governing your access to and use of the Proofel service at proofel.com (the “Service”). Please read them carefully. By creating an account, using the Service, or reviewing content through a share link, you agree to these Terms. If you do not agree, do not use the Service.
Agreement & eligibility
You must be at least 16 years old to use the Service. If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity. Together with our Privacy Policy and Cookie Policy, these Terms form the entire agreement between you and us regarding the Service.
Definitions
- Account Owner — the person or entity that registers for and controls a Proofel account.
- Authorised User — a team member the Account Owner invites into their workspace.
- Guest Reviewer — a person who opens a share or review link to comment on or approve content without a Proofel account.
- Content — email designs, images, comments, annotations, approvals, and everything else you upload, forward, or create in the Service.
The service
Proofel is a review and approval platform for email campaigns: you upload or forward email designs, share them for feedback, manage versions, and route approvals. Proofel is not an email sending platform (ESP) and does not deliver campaigns to your subscribers. Features such as dark-mode previews, link screenshots, and size analysis are review aids, not sending tools.
Accounts & guests
You are responsible for your account credentials and for all activity under your account, including Authorised Users you invite and share links you create. Guest Reviewers use the Service under these same Terms. Keep your account information accurate, keep your credentials secure, and don’t share them. The Account Owner is responsible for its Authorised Users’ compliance with these Terms and, where applicable, for the associated billing.
Your content
You own the Content you put into Proofel. You grant us only the licence needed to operate the Service: to host, store, process, render, transmit, and display that Content to the people you share it with, and to make backups. You represent and warrant that you have all rights, permissions, and lawful bases necessary to upload and share your Content — including any third-party or personal information contained within your email designs — and that your Content and its use do not violate any law or third-party right. You are responsible for who you share Content with: anyone holding an unexpired share link you create can view that canvas at the access level you set.
Acceptable use
- No unlawful content or use, including content that infringes others’ intellectual property, privacy, or other rights.
- No malware, phishing content, or attempts to breach, probe, disrupt, or overload the Service or access other users’ data.
- No abusive or automated ingestion — canvas email addresses are for your own campaign review, not bulk mail archiving or resale.
- No reverse engineering, reselling, or building a competing service from the Service, except to the extent this restriction is prohibited by law.
- We may suspend or remove Content or accounts that violate these rules, with notice where practical.
Plans, billing & trials
Every new account starts with a 14-day all-access trial of our top (Team) plan — no credit card required, and nothing is charged automatically. When the trial ends you move to the Free plan unless you choose to upgrade.
Paid plans are billed in advance through our payment processor, Stripe. Current pricing is Pro at US$19/month or US$179/year, and Team at US$49/month or US$469/year, which includes three seats; additional Team seats are US$10 per seat per month (billed monthly). Enterprise plans are available by arrangement — contact sales@proofel.com. Prices are exclusive of any taxes, which we add where required.
Paid subscriptions renew automatically for the same interval until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period, and you keep access until then. Plan changes and seat changes are prorated by Stripe. Except where required by law (including non-excludable consumer guarantees), payments are non-refundable. If you downgrade past the Free plan’s limits, nothing is deleted — you simply can’t create new emails until you’re within the limits again. We may change our prices or plans on a going-forward basis and will give you reasonable notice before a change affects your renewal.
Third-party services
The Service relies on third-party providers (such as Stripe for payments and the subprocessors listed in our Privacy Policy). Your use of those services may be subject to their own terms, and we are not responsible for third-party services or for the acts or omissions of third parties beyond our reasonable control.
Intellectual property
The Service, including its software, design, and trademarks, is owned by Proofel and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; we reserve all other rights. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service without obligation to you.
Cancellation & termination
You can cancel your subscription or delete your account at any time. We may suspend or terminate your access for material breach of these Terms, for risk to the Service or other users, or as required by law, with notice where practical. On termination, your right to use the Service ends and your Content is removed as described in our Privacy Policy. Terms that by their nature should survive termination (including content licences you granted, disclaimers, limitations of liability, and indemnities) will survive.
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We work hard on accuracy, but previews are simulations: dark-mode rendering, link screenshots, and size analysis are review aids, not guarantees of how any particular email client will behave or of campaign outcomes. You remain responsible for your final sends, including legal requirements such as unsubscribe links. Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, or right that cannot be excluded under applicable law, including the Australian Consumer Law.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to these Terms or the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Where legislation such as the Australian Consumer Law implies a guarantee that cannot be excluded, and where permitted, our liability for breach of that guarantee is limited to re-supplying the Service or paying the cost of having it re-supplied. Nothing in these Terms limits liability that cannot be limited by law.
Indemnity
You agree to indemnify and hold harmless Proofel and its personnel from and against any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of your Content, your use of the Service, or your breach of these Terms or of any law or third-party right, except to the extent caused by our own breach or negligence.
Changes to these terms
We may update these Terms as the product and our legal obligations evolve. For material changes we’ll give notice (by email or in-app) before they take effect; continuing to use the Service after that constitutes acceptance. If you don’t agree to a change, stop using the Service and cancel your account.
Governing law & disputes
These Terms are governed by the laws of the State of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them. This choice of law does not deprive you of the protection of any mandatory consumer-protection or data-protection rights available to you in your country of residence, including in the EU and UK.
General
You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be given by email or in-app; notices to us should be sent to the contact below.
